Separate the questions
Governance considers direction, oversight and accountability. Management organises the work needed to deliver within agreed direction and authority. Ownership introduces another set of interests. These roles overlap in smaller businesses, but a useful meeting makes clear which question is being considered and who has authority to decide.

Use the distinction in everyday work
A discussion about which markets to enter is different from scheduling next week's sales visits. A review of whether the business has adequate capability is different from assigning individual tasks. Separate the agendas so urgent operational detail does not consume every strategic conversation. Record decisions and the information needed for later oversight.

Be explicit about formal authority
A practical role map is not a substitute for the company's governing documents or directors' duties. An advisory group is also different from a formal board. Seek appropriate advice on the structure and responsibilities that apply. Within those arrangements, define management authority and the matters that need escalation.

What this could look like
An owner-director is frustrated by late deliveries. In a management meeting, the question may be how to clear the backlog. In a governance meeting, it may be whether the operating model has enough capacity for the strategy. Both matter, but they require different evidence and decisions.
