Management buyout: a readiness guide

A management buyout asks an existing team to become owners as well as operators. Test leadership readiness, the funding case and the departing owner's expectations before treating it as the obvious succession route.

Confirm that the team wants ownership

Being an effective manager does not automatically mean wanting the responsibilities of ownership. Discuss personal objectives, available capital and willingness to make decisions together. Establish how the team would lead without the current owner. Each participant should have access to independent advice where interests differ.

Build a joined-up funding picture

Set out the proposed interest, valuation basis and possible timing of the purchase. Ask a finance provider what information it needs rather than assuming a funding structure will be available. Model the business's operating cash needs separately from purchase funding. Be explicit about assumptions for repayments, investment and the owner's continuing involvement.

Test the transition before relying on it

Identify the decisions, relationships and knowledge that still sit with the owner. Give managers opportunities to demonstrate readiness within agreed authority. Capture gaps and support needs. The business should be able to explain how continuity will be maintained if a key manager leaves or a proposed financing arrangement does not proceed.

  • Managers: who wants ownership and what responsibilities can they carry?
  • Business: can it operate without informal owner intervention?
  • Funding: which assumptions have been discussed with a lender or adviser?
  • Fallback: what happens if the proposed buyout cannot proceed?

The operations manager is ready to lead delivery, but the owner still manages banking and major customer negotiations. A buyout plan needs an explicit transfer of those responsibilities. A capable operating team alone does not demonstrate that ownership funding and commercial leadership are in place.
